Palo Alto Networks in Talks to Grab AI Agent Guardian Clutch for $500M
Palo Alto Networks is negotiating to buy Clutch Security, a three-year-old startup that locks down AI agents' access to company systems, for $500 million in cash plus milestone payouts. Clutch was last valued at $85 million and is nearing $10 million in ARR, making the price roughly 50 times revenue. It would be the cyber giant's seventh deal this year.
Palo Alto Networks is negotiating to buy Clutch Security, a startup that guards AI agents' access to corporate systems, for $500 million in cash plus milestone-based payouts, according to a person familiar with the talks cited by TechCrunch. Neither company would talk, and The Information broke the news first.
The price tag is steep for a company this young. Clutch is three years old and was last valued at $85 million in January 2025, when it raised a $20 million Series A led by Lightspeed and SignalFire. It's approaching $10 million in annual recurring revenue, which would put the deal at roughly 50 times ARR.
That multiple isn't a fluke. Upwind, a startup using AI to secure cloud infrastructure, recently walked away from a DataDog offer that valued it at about 40 times ARR, TechCrunch reported last week. Investors and acquirers are clearly willing to pay up for anything that keeps AI from becoming a front door for attackers.
If it closes, Clutch would be Palo Alto Networks' seventh acquisition this year, per PitchBook. The cybersecurity giant prefers buying innovation to building it, and it has leaned on that playbook hard in 2025 as AI-driven attacks climb.
The shopping list is already long. In September it picked up Console, a two-year-old startup using AI agents to automate IT help desk work, for $500 million in stock and cash. It also snapped up NEA-backed Embrace for $325 million, observability platform Chronosphere for $2.95 billion, and cyber startup Koi for $231 million, according to regulatory filings.
Clutch's corner of the market is consolidating fast. Cyera, valued at $12 billion earlier this year, bought fellow AI-agent access manager Oasis Security for $1 billion, and Cisco grabbed Menlo Ventures-backed Astrix for about $400 million, Calcalist reported. Clutch, it seems, is next in line.
