EU clears JD.com's €2.2B Ceconomy takeover — with a trustee watching
The European Commission approved JD.com's €2.2 billion acquisition of German retailer Ceconomy AG on Tuesday, but only conditionally. Brussels found the Chinese e-commerce giant benefited from subsidies that could distort EU competition, so JD.com and Ceconomy agreed to market-rate dealings and decade-long access to JD's tech and logistics. A trustee will monitor before full approval.
The European Commission waved JD.com's €2.2 billion takeover of German electronics retailer Ceconomy AG through on Tuesday — but not without conditions. Brussels had opened a full-scale investigation into the Chinese e-commerce giant back in May, worried that state subsidies had skewed the negotiating table. The probe confirmed those fears, finding the subsidies could distort competition across the EU's single market.
So JD.com and Ceconomy had to give ground. They've promised to keep all intra-group transactions at market rates, and to offer JD.com's technology, warehousing and logistics services to third parties on the exact same terms Ceconomy gets for a full decade. An independent trustee will babysit the whole arrangement before the Commission signs off completely.
The deal hands JD.com a ready-made beachhead in European retail. Ceconomy runs big-box electronics chains across the continent, giving the Chinese giant the physical footprint it has long coveted outside Asia. Brussels clearly wants to make sure that footprint doesn't come with an unfair subsidy-powered head start.
It's the latest in a string of sprawling cross-border deals making headlines this week. Blackstone-led investors agreed to spend $3.1 billion on a 49.9% slice of a Mitsubishi subsidiary tied to LNG Canada, Marvell Technology struck an all-stock agreement to buy Lumentum Holdings for roughly $115 billion, and Carlyle and PAI Partners are selling women's healthcare firm Theramex to Cinven at about €2.6 billion.
For now, JD.com can breathe — the acquisition is approved, conditionally, with the trustee watching every move. Full clearance hinges on how cleanly those commitments hold up. Brussels made clear it's not done looking over shoulders.
