Lufthansa Signs On The Dotted Line For 44.9% Of TAP Air Portugal
Lufthansa has officially signed a deal with the Portuguese government to buy a 44.9% minority stake in TAP Air Portugal for $1.02 billion, funded entirely from its own liquidity. The stake could climb to 49.9%, and Lisbon's flag carrier now becomes Lufthansa's latest fixer-upper with big transatlantic ambitions.
Lufthansa made it official Tuesday, putting pen to paper with the Portuguese government on a 44.9% minority stake in TAP Air Portugal. The German airline group is paying $1.02 billion for the slice, and it's writing the check from cash it already has on hand — no new borrowing needed.
The stake isn't necessarily the final number. Lufthansa could push its holding up to 49.9% by picking up shares that were initially set aside for TAP employees. Add a so-called ticking fee into the mix, and the total tab could climb as high as €1.2 billion, the company said in its statement.
Lufthansa is betting a minority position is already enough to bank most of the prize. It estimates synergies of up to €450 million are achievable without control of the airline, while a majority stake down the road would open the door to moving faster on TAP's growth plans.
Those plans lean hard on the routes where Portugal punches above its weight: connections to Brazil, Portuguese-speaking Africa and North America. TAP's Lisbon hub is a natural bridge between Europe and those markets, and Lufthansa clearly wants a piece of that traffic.
Tuesday's signature turns a long courtship into a done deal, though the exact closing remains subject to the usual regulatory and procedural steps. For now, Portugal keeps control — and Lufthansa gets a foothold in the South Atlantic.
