Marvell in Talks to Merge With Lumentum in AI Connectivity Play
Marvell Technology is reportedly in advanced talks to acquire Lumentum Holdings in an all-stock deal, Bloomberg says, pairing Marvell's chips with Lumentum's optical lasers for AI data centers. Marvell shares dropped as much as 15% after hours on dilution worries, while Lumentum climbed.
Marvell Technology is in advanced talks to buy Lumentum Holdings in an all-stock deal, Bloomberg reported on October 28, 2026. An announcement could land as soon as the following week, though regulators would still have to sign off. The pairing would marry Marvell's chips to Lumentum's lasers, targeting the unglamorous plumbing that keeps AI data centers humming: shuttling data between chips at blistering speed.
Wall Street didn't cheer. Marvell's stock slid between 8% and 15% in after-hours trading, while Lumentum's shares climbed. The reason for the split is familiar to anyone who has watched an all-stock deal before — dilution. Pay with fresh shares, and every existing share owns a thinner slice of the pie.
The scale is substantial. Lumentum's market capitalization sits somewhere between $83 billion and $85 billion, against roughly $196 billion to $221 billion for Marvell. The two companies occupy different lanes: Marvell designs semiconductors, while Lumentum builds the optical lasers and components stuffed inside AI data centers.
The strategic pitch is clear enough. Marvell wants a stronger hand against giants like Broadcom, and Lumentum's order book is the tempting part. CEO Michael Hurlston has said some products are already sold out into early 2029, and that the company can't fill roughly 70% of certain orders next year. A buyer inherits that committed demand.
Marvell isn't starting from zero. It already picked up Celestial AI, a deal that closed in late 2025 or early 2026 and handed it technology for linking chips with light. Revenue from that purchase isn't expected until the second half of FY2028. Adding Lumentum would extend the same strategy — Celestial AI brought the connection tech, Lumentum would bring a major maker of the lasers that make it work.
The risk sits on execution. Absorbing a company of Lumentum's size is hard, and Marvell would be doing it while still digesting Celestial AI. Keep an eye on three things: whether the formal announcement arrives on the reported schedule, the final exchange ratio for Lumentum shareholders, and how both sides describe plans to ramp production.
